  • Muja A&B power station refurbishment Advised Inalco Energy on financing issues in relation to the refurbishment of the Muja A&B coal-fired power station and involving ANZ, NAB and GE as lenders. This was a challenging project from a technological and a political perspective, due to issues around carbon emissions reduction.
  • Acquisition of assets from OZ Minerals by China Minmetals Advised China Minmetals on financing issues in support of its acquisition of assets from the OZ Minerals Group. This was a major investment by a Chinese SOE into Australia with financing aspects that required quick and innovative thinking.
  • $905 million restructuring of BIS Cleanaway Advised Credit Suisse on the $905 million restructuring and recapitalisation of the BIS Cleanaway group of companies. This was a benchmark transaction for offshore private equity firms operating in the Australian market.
  • Key social infrastructure PPPs throughout Australia Advised the successful bidding consortia for state-based projects that will deliver outstanding and vital social assets. This includes the Perth CBD Courts PPP in WA; the Southbank Education and Training Precinct PPP in Queensland; the Royal Children’s Hospital PPP in Victoria; and the Mundaring Water Treatment Plant PPP in WA; and the restructure of the “Waratah” Rolling Stock PPP in NSW.
  • Great Southern Limited receivership Advised the receivers and managers on the insolvency of Great Southern and the unwinding of its structured financing arrangements.
  • £565 million acquisition finance facility Advised Dresdner Bank on the £565 million acquisition finance facility to a subsidiary of YTL International Berhad in relation to the £1.24 billion acquisition of the utility Wessex Water.
  • US$1.35 billion syndicated loan and letter of credit facilities Advised UBS as arranger and underwriter of the US$1.35 billion syndicated multicurrency loan and letter of credit facilities in connection with the acquisition by Group 4 Falck A/S of the custodial and security services provider, The Wackenhut Corporation.
  • €769 million LBO facilities Advised Credit Suisse and Société Générale as joint lead arrangers in respect of the €769 million secured syndicated senior and mezzanine facilities required for the leveraged buy-out of the SigmaKalon group of companies from TotalFinaElf by a private equity consortium.
  • Aspire Mining coking coal project in Mongolia Advised Aspire Mining on financing issues in relation to the development of its coking coal project, and related rail infrastructure, in Mongolia.
  • Guangdong Rising’s takeover offer for Caledon Resources plc Advised Standard Chartered Bank in respect of the bridge financing provided to Guangdong Rising for its takeover offer for Caledon Resources plc.
  • SEEK Limited Advised on all of SEEK’s debt financing arrangements including its A$465 million syndicated financing arrangements. Advised on all Australian law and cross border security issues arising from the takeover of the Jobseeker.com group of companies. Coordinated foreign counsel for offshore subsidiaries.
  • Zijin Mining Group Advised on financing and legal structuring issues in support of its acquisition from Barrick Gold of a 50% interest in the Porgera gold mine in Papua New Guinea.
  • Murray & Roberts Advised on Australian law financing issues arising from the listed takeover of Clough Limited.
  • AMEX Resources Advised on financing and legal structuring issues in relation to the structured asset financing in support of its development of the Mba Delta iron sands mine in Fiji.
  • Linfox Property Group Advised on the self-arranged club facility for the financing of over 50 properties around Australia. ANZ, NAB and HSBC were the financiers.
  • Bald Hills Wind Farm Advised syndicate of project financiers the Bald Hills Wind Farm project; Australia’s only utility-scale, renewable energy project financing without an investment grade offtaker.
  • Hedland Precint Power Station Advised on financing and security issues surrounding the Hedland Precinct Power Station related to the insolvency of construction contractor, Forge Group.
  • Ambac Advised on all current Australian exposures of Ambac Assurance Corp, including Citipower, Powercor, the Dampier to Bunbury Natural Gas Pipeline and Broadcast Australia.
