Mergers & Acquisitions

Corrs' mergers and acquisitions lawyers are experienced in all aspects of company takeovers - private and public, friendly and hostile - and bring extensive experience in both domestic and international acquisitions and divestments.

A merger or acquisition is often a defining transaction for a company. As soon as the decision is made, the next step is retaining a lawyer who will get the job done. Corrs bring the know-how and resources to manage projects to make transactions happen while ensuring that clients' business objectives are met.

Corrs has advised on some of the largest business and asset acquisitions and disposals in Australia for private companies and government enterprises in roles which have included preparing and conducting vendor or purchaser due diligence, including the compilation of electronic document databases, negotiating sale and purchase documentation and advising on risk management issues.

In public company takeovers, Corrs advises boards of directors on strategic issues, prepares and negotiates documentation for both takeovers and schemes of arrangement, conducts due diligence and advises on all legal issues associated with an acquisition or disposal. We also manage tender processes for the sale of businesses, and have run simultaneous trade sale / IPO processes.

A number of Corrs' partners are members of the Takeovers Panel, and apply the insights gained from that regulatory role to the benefit of clients. We also have strong relationships with regulators including ASIC, FIRB, ASX and ACCC, allowing us to manage the many legal and regulatory issues that arise with mergers and acquisitions.
