The impact of the so called Tweed amendments to the Corporations Act has been vividly demonstrated in a number of recent situations and provides a stark reminder of the need to carefully consider these provisions when:
- making any unsolicited offer to purchase shares from a shareholder; and
- accumulating a pre-bid stake in a target company.
The Tweed amendments apply to all unsolicited offers and as such, have a very wide scope.
