Braddon Jolley is one of Australia's leading mergers and acquisitions lawyers.

Braddon specialises in complex and/or hostile transactions and has been involved in many of the largest, most complex and innovative transactions in the Australian M&A market. They include advising Rinker on the $17.5 billion hostile takeover by CEMEX (the biggest takeover in Australian corporate history), Fairfax Media on its $9 billion merger with Rural Press, and Promina on its $7.87 billion merger with Suncorp Metway.

He deals with a broad range of corporate and securities law issues for public listed companies including takeovers, schemes of arrangements and capital reductions, and also with equity raisings and significant non-public M&A transactions.

Braddon has recently advised:

  • BG Group on its successful $1 billion hostile takeover bid for Pure Energy Resources (defeating the competing offer from Arrow Energy);
  • Sydney Gas in relation to the takeover bid by AGL;
  • the independent directors of FreightLink on the sale process for the Adelaide to Darwin rail operator and subsequent administration of FreightLink;
  • Adelaide Brighton on its $100 million capital raising, including an innovative related-party placement and sell down; and
  • Iluka Resources on the disposal of its 51% shareholding in Consolidated Rutile.

Braddon is a member of the Takeovers Panel. He was instrumental in introducing pre-bid arrangements to the Australian market and pioneered the pre-acceptance agreement and bear hug conditions.
